When negotiating a contract, you can generate redlines using precedent agreements surfaced by the platform. The Similar Documents feature superimposes redlines done on a prior agreement onto a new document.

Using Similar Documents (precedent only)

For precedent agreements surfaced by the platform, Similar Documents superimposes redlines done on a prior agreement onto a new document.

1. On the Contract Dashboard, click the document listed under Project to access the Contract Details page.

2. Click the Similar Documents tab. You will see the document's Text Match percentage against similar precedent agreements. Precedents that meet a minimum threshold of 75% will surface in the table.

   
   
   
    

3. Click Compare under Text Match to navigate to the document comparison screen.
   
   
    
4. From here, there are two approaches that you can take: (i) generate redlines based on a first markup done on a similar document, or (ii) generate redlines based on a final version of a similar document.

     • Generate redlines based on a first markup done on a similar document: Negotiate from a position of strength. Select First Markup in the dropdown menu to apply redlines based on a first markup done on a prior agreement.

    • Generate redlines based on a final version of a similar document: Negotiate from a position of strength. Select Final in the dropdown menu to apply redlines based on a final version of a prior agreement.

      
       

5. You can also toggle off Inline on the top right of your screen to bring up a side-by-side view.
 

6. If you are satisfied with the markup, click Export Redline. You can also make further edits in Word after exporting.
