Accord has two approaches to negotiating documents in the platform: 1) the Similar Documents feature fully leverages precedents surfaced by the platform to generate redlines and 2) the Markup Builder feature leverages your precedents and Negotiation Playbook to generate redlines.

Using Similar Documents (Precedents Only)
For precedent agreements surfaced by the platform, Similar Documents superimposes redlines done on a prior agreement onto a new document.
- On the Contract Dashboard, click on the document listed under Project to access the Contract Details page.

Click on the Similar Documents tab. You will see the document's Text Match percentage against similar precedent agreements. Precedents that meet a minimum threshold of 75% will surface in the table.

Click Compare under Text Match to navigate to the document comparison screen.

From here, there are two approaches that you can take: (i) generate redlines based on a first markup done on a Similar Document or (ii) generate redlines based on a final version of a Similar Document.

You can also toggle off the Inline button on the top right of your screen to bring up a side-by-side view.
- If you are satisfied with the markup, click Export Redline. You can also make further edits in Word after exporting.
Make sure to re-upload the first markup that you send to the Counterparty to the Contract Details Overview page so that you can continue to build up your precedent bank!
Using Markup Builder (Precedents and Playbook)
Markup Builder leverages your precedents and playbook to generate redlines and applies them on the clause level.

On the Contract Dashboard, click on the document listed under Project to access the Contract Details page.

Click View next to Markup Builder.
- Use Quick Links to quickly navigate to sections where key clauses are located in the document.
- View the redlines that have been applied to the document on the left. By clicking through the sections in the document, the right side of the screen will show either Precedent Suggestions or AI Suggestions generated based on your Playbook.
- Viewing AI Suggestions will also bring up a Playbook Reference.
- Click View Suggestions to scroll through all Precedent Suggestions and AI Suggestions that were captured by the system and decide which redlines you would like to Apply to the document.
- You can Edit or Remove suggestions directly in the platform. You can also Give Feedback on any of the Suggestions.

- If you are satisfied with the markup, click Export Redline. You can also make further edits in Word after exporting.
