Key aspects of the NDA Exchange feature
Secure document hosting
The feature allows NDAs to be hosted securely within the Ontra platform with access through a link generated on the platform, ensuring that only users with a valid link can access the documents. To maintain control over who has access, the link automatically expires after 90 days of being generated or when you activate Expire Link.
Link sharing with potential buyers
The banking team can share a secure link with potential buyers, enabling them to preview the NDA, download it for comments, and ensure that all parties work from the same document version.
Access control and tracking
Ontra tracks when documents are viewed and downloaded, providing valuable insights into buyer engagement and activity even before counterparties reach out with first round comments.
How it works
Step 1: Select your project
Navigate to the Projects tab and select the relevant project. In the project overview, you'll find tabs labeled Details, Playbook and Forms, and Document Tracker. Under Playbook and Forms, you can upload files that will be distributed during the marketing phase by clicking Upload.
Step 2: Upload the NDA
After clicking Upload, a window appears where you can drag and drop or browse your files to upload the NDA.
Step 3: Notification to attorneys
Once the document is uploaded, a notification informs you that attorneys on the project will be notified of the changes within five minutes.
Step 4: Sharing the Ontra-hosted NDA link
To share the NDA, click the three-dot menu next to the uploaded document and select Share. This option generates a secure link for potential buyers, allowing them to preview and download the NDA, ensuring all parties use the same version.
Step 5: Generate the link
Anyone with access to this link can view the document. You can expire this link and generate a new one at any time.

Step 6: Copy URL
Click Copy URL to copy the URL for sharing. You can also preview the document from here.
Step 7: Managing the shared document
After creating the share link, a green Shared tag appears under the document template. The three-dot menu offers options to Copy Link, Expire Link, Replace Document, or Delete.
Step 8: Downloading the report
Once the share link is shared with counterparties and accessed, Ontra keeps a record of the names and emails of everyone who accessed, previewed, or downloaded the document, along with timestamps. To download this report, click Download Shared Link Report.
